Corporate Law

Lars Radziwon advises on all aspects of corporate law. He advises companies on preparing corporate articles of incorporation and partnership agreements and on forming companies. He also advises on ongoing corporate law matters and on shareholder disputes.

Capital Markets Law / Corporate Finance

Another focus of Lars is capital markets law (ECM, DCM, derivatives and securitizations), in particular in corporate finance. He assists and advises companies on structuring and implementing capital measures, primarily with respect to raising debt capital through bonds, issued either by way of a public offering (securities prospectuses and investment prospectuses) or by way of a private placements. Lars additionally represents issuers in the approval procedure before the German Federal Financial Supervisory Authority (BaFin). Lars also advises on securities and investments issues that are not subject to a prospectus, for example, so-called securities information sheets (WIB) or asset information sheets (VIB).

M&A / Venture Capital

Lars advises both sellers and buyers on M&A transactions, including on acquiring minority interests. He is involved throughout the entire transaction (negotiating and preparing Letters of Intent, due diligence, structuring, ownership control procedures, and negotiating and preparing share purchase and asset purchase agreements as well as shareholder agreements). Lars also assists and advises founders and investors in equity transactions in the venture capital sector.

Supervisory Law

In particular in connection with capital market transactions, Lars advises on corresponding banking supervisory law. This includes advising on whether a matter is subject to licensing from BaFin or the German Trade Supervisory Authority and, if so, implementing the necessary licensing procedure pursuant to Section 34f Germany’s Trade Act (GewO), Section 15 Germany’s Act on the Supervision of Securities Institutions (WpIG) or for payment services pursuant to the Payment Services Supervision Act. Lars’ legal advice includes also preparing documents and reporting requirements in accordance with the Markets in Financial Instruments Directive II (MiFID II), Germany’s Regulation on Brokering Financial Investments (FinVermV), and Germany’s Money Laundering Act (GwG) as well as advising on ongoing regulatory requirements, such as Minimum Compliance Requirements (MaComp), MiFID II, and the GwG. Lars has many years of experience in dealing with Germany’s BaFin and is well acquainted with both the practical and legal aspects of dealing with this regulatory agency.

Lars is a German Attorney at Law and Junior Partner at SCHIEDERMAIR. He previously practiced at the German law firm GSK STOCKMANN in Frankfurt. While there, he focused also on corporate law and completed several secondments with CBRE Global Investors.

Lars studied law at the Johann Wolfgang-Goethe University in Frankfurt. He was admitted to the German bar in 2015. During his post-graduate legal training period, Lars worked as a Research Assistant at several international law firms.
