We advise investors, companies seeking to raise capital, and their management on structuring, as well as on selling or acquiring debt and equity products.  We also advise our clients on regulatory matters and represent them vis-à-vis regulatory authorities.

Investing in a company may be subject to a number of banking and capital market regulations. For example, lenders may be required to apply for and obtain a banking license just as being on the receiving end of third-party financing may be subject to other regulatory provisions.  Raising third-party debt, that does not include bank financing, often calls for using debt financing products that are not subject to supervisory provisions.  We structure third-party financing products for our clients with legal certainty and in a sustainable manner.

The issuance of financing instruments – regardless of whether debt or equity – is often subject to prospectus requirements.  We advise issuers on preparing prospectuses, as well as on obtaining the requisite regulatory approval. In the alternative, we ensure that issuers may place financial instruments without preparing a prospectus because of statutory exemption.

As of late, our practice has become increasingly specialized in investments that satisfy the Sustainable Development Goals of the United Nations.  To the extent necessary, we also advise issuers on reorganizing any issued financial instruments.
