M&A and Corporate Law

Leif’s primary focuses in corporate law include advising on domestic and cross-border M&A transactions, corporate transformations, and other measures concerning the restructuring of companies. He advises on all issues arising in connection with corporate financing, swaps, management buyouts (MBO’s), employee buyouts (EBO’s), leveraged buyouts (LBO’s) and carve-outs to shareholder agreements as well as on the liability of managing directors. He also advises founders and investors, particularly in the areas of venture capital and private equity. As part of his corporate practice, he is actively involved in the corporate start-up scene.

Competition and Antitrust Law

Leif advises on competition and antitrust law matters. In particular, he advises on merger control proceedings in connection with (cross-border) transactions, sector-specific issues concerning the abuse of market power as well as on horizontal and vertical restraints of competition matters.

International Commercial Law

As for international commercial law matters, Leif advises primarily on negotiating, drafting, and executing (international) commercial agreements. He has particular expertise in sales representative agreements, distribution agreements, export purchase agreements, project agreements, customer protection agreements, and complex supply agreements. In addition, he litigates claims arising under such types of agreements.

  • Prepared an antitrust legal opinion on the anti-competitive nature of the exchange of information among horizontal competitors for a German food group

Education and Career

Leif has been a German Attorney at Law since 2009 and a Junior Partner at SCHIEDERMAIR in Frankfurt since 2018. Before joining our Corporate Law, M&A, Tax, and Notarial Services Practice, he worked for two international law firms in Germany and abroad.

Prior to beginning his career as an attorney, Leif completed his post-graduate legal training period (Referendariat) at the District Court of Frankfurt and in Brussels. As part of his legal training, Leif earned a PhD in the area of sector-specific antitrust regulation on monopolistic market structures. Additionally, Leif obtained a Master of Laws Degree (LLM) from the Loyola Law School (Los Angeles), with a focus on M&A, Business Associations and Competition Law, where he was recognized with a First Honors Award.
