In our corporate practice, clients range from family-owned German “Mittelstand” companies to stock-listed multinational conglomerates. For foreign groups with a presence in Germany we often serve as an external legal department. Assessing and solving complex corporate law issues forms part of our traditional core expertise.

Key experience in this area includes:

  • Setting up and structuring corporations and partnerships
  • Designing articles of association, partnership agreements, shareholder agreements, by-laws etc.
  • Corporate litigation
  • Changes to corporate structures (including mergers, demergers and transformations pursuant to the German Transformation Act)
  • Advising boards and board members, including on remuneration programs and on stock option plans, in cooperation with colleagues from our labour law practice
